1. Introduction
These Terms and Conditions (“Terms”) govern your relationship with Froogal Innovations Inc / Froogal Innovations Pvt Ltd (“CXVERSE,” “us,” “we,” or “our”) and your use of CXVERSE’s platform, including its website, web-based services, and mobile applications (collectively, the “Services”). By accessing or using the Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, in whole or in part, you must not access or use the Services. CXVERSE reserves the right to modify these Terms at any time. Any updates will be posted on our website, and significant changes will be communicated to you via email or in-app notifications. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
2. Purchases
If you purchase any products or services through CXVERSE, you may be required to provide payment information, including but not limited to your credit card number, ACH details, billing address, and shipping information. By providing this information, you represent and warrant that you have the legal right to use the payment method(s) provided and the information you provide is accurate, complete, and current. CXVERSE uses trusted third-party payment processors to handle transactions securely. CXVERSE does not store payment card details directly. By submitting payment information, you authorize CXVERSE to share this information with payment processors solely to complete your transactions. All payments are in US Dollars unless otherwise specified.
3. Account Terms
When creating an account, you must provide accurate and complete information. Failure to do so constitutes a breach of these Terms and may result in immediate termination of your account. You are responsible for safeguarding your account credentials and for any activities or actions conducted under your account. You agree to notify CXVERSE immediately of any unauthorized access or use of your account and not share your password with any third party. CXVERSE is not liable for losses or damages resulting from unauthorized access due to your failure to maintain account security.
4. Links to Third-Party Websites
CXVERSE’s Services may include links to third-party websites or services not owned or controlled by CXVERSE. CXVERSE assumes no responsibility for the content, privacy policies, or practices of these third-party sites. You acknowledge that CXVERSE is not liable for damages or losses arising from your use of third-party websites. We encourage you to review the terms and privacy policies of any third-party websites you visit.
5. Termination
CXVERSE may terminate or suspend your access to the Services at any time, with or without notice, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Services will immediately cease, and all provisions of these Terms that inherently survive termination, including ownership, indemnity, and limitations of liability, will remain in effect. If you wish to terminate your account, you may discontinue using the Services at any time.
6. Indemnification
You agree to indemnify and hold CXVERSE, its affiliates, officers, employees, agents, and partners harmless from any claims, damages, losses, or expenses, including legal and accounting fees, arising from your use of the Services, your violation of these Terms, any content you upload or post on the Services, and unauthorized access to or misuse of your account. This indemnification obligation survives termination of your use of the Services.
7. Limitation of Liability
CXVERSE is not liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or goodwill, inability to access or use the Services, third-party conduct or content on the Services, or unauthorized access to or alteration of your transmissions or data. CXVERSE’s aggregate liability for claims related to the Services will not exceed the total subscription fees you paid in the 12 months preceding the claim. CXVERSE is not responsible for service interruptions caused by factors beyond its control, including natural disasters, cyberattacks, or third-party failures.
8. Disclaimer and Non-Waiver of Rights
The Services are provided “as is” and “as available,” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. CXVERSE does not guarantee uninterrupted service, error correction, or compatibility with all devices. CXVERSE’s failure to enforce any provision of these Terms does not constitute a waiver of its rights to enforce such provision in the future.
9. Governing Law
These Terms are governed by the laws of India. For disputes arising under these Terms, the courts in Texas, USA or Hyderabad, India, will have exclusive jurisdiction. CXVERSE reserves the right to enforce its rights in other jurisdictions as necessary.
10. Changes to Terms
CXVERSE reserves the right to modify or replace these Terms at any time. If changes are material, CXVERSE will provide at least 30 days’ notice before the new Terms take effect. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you disagree with the changes, you must stop using the Services.
11. General Conditions
You must not misuse the Services by attempting to hack, disrupt, or exploit CXVERSE’s systems. CXVERSE reserves the right to remove content or accounts that violate these Terms or applicable laws. You agree not to reproduce, duplicate, or resell any part of the Services without CXVERSE’s written permission.
